By registering for, accessing, or using the DwaBot platform ("Service"), you ("Merchant") agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.
If you do not agree to these Terms, do not use the Service.
DwaBot provides a WhatsApp AI sales assistant platform that allows businesses to automate customer conversations, manage orders, and accept Eganow MoMo payments via WhatsApp. The Service includes:
Registration: You must provide accurate, current, and complete information when registering. You are responsible for maintaining the confidentiality of your account credentials.
Account security: You are responsible for all activity that occurs under your account. Notify us immediately at support@dwabotai.com if you suspect unauthorised access.
Staff accounts: You may invite staff members to your account. You are responsible for ensuring your staff comply with these Terms.
One account per business: Each WhatsApp Business phone number may be linked to one DwaBot merchant account.
You may use the Service only for lawful business purposes in connection with selling legitimate goods and services. You agree not to:
Eganow MoMo: DwaBot integrates with Eganow to facilitate MoMo payment collection on your behalf. You are responsible for maintaining valid Eganow merchant credentials and for the accuracy of payment amounts communicated to your customers.
Payment verification: DwaBot independently re-verifies every payment callback with Eganow before marking an order as paid. Despite this, you remain responsible for any disputes or chargebacks arising from your transactions.
Manual reconciliation: Super-admin manual payment reconciliation is logged in a tamper-evident audit trail. Any reconciliation must reflect a genuine payment received.
Fees: DwaBot does not charge payment processing fees directly; Eganow's standard transaction fees apply. Subscription fees for DwaBot, if any, are billed separately and described in your subscription agreement.
Your use of DwaBot's WhatsApp integration is subject to Meta's WhatsApp Business Policy. You are responsible for:
DwaBot is an independent service provider and is not affiliated with, endorsed by, or a partner of Meta Platforms, Inc.
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
Your data: You retain ownership of your merchant data (products, customers, orders, conversations). We process this data on your behalf to provide the Service.
Customer data: You are the data controller for your customers' personal data (phone numbers, names, order details) collected through the WhatsApp interface. You are responsible for having a lawful basis to process this data and for providing appropriate privacy notices to your customers.
AI training: We do not use your customers' conversation data to train third-party AI models without your consent. Conversation data is passed to your selected AI provider (OpenAI or Anthropic) solely to generate responses at the time of the conversation.
Our handling of lawful requests from courts, law-enforcement agencies, regulators, and other public authorities is described in our Privacy Policy.
We aim to provide the Service with high availability but do not guarantee uninterrupted access. Planned maintenance will be communicated in advance where possible. We are not liable for downtime caused by third-party services (Meta, Eganow, OpenAI, cloud infrastructure).
DwaBot and its associated software, branding, and documentation are the intellectual property of DwaBot and its licensors. These Terms do not grant you any ownership rights in the Service.
You grant DwaBot a limited, non-exclusive licence to use your merchant name and logo solely to identify your account within the platform (e.g., on the merchant dashboard header).
To the maximum extent permitted by Ghanaian law:
Nothing in these Terms limits liability for fraud, gross negligence, or death or personal injury caused by negligence.
By you: You may close your account at any time by contacting us. Closing your account does not affect obligations already incurred (e.g., pending orders or unpaid subscription fees).
By us: We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or if your Eganow or WhatsApp credentials are revoked. We will give reasonable notice except where immediate action is necessary to protect other users or the platform.
On termination, your access to the dashboard is removed. Data retained per our Privacy Policy.
These Terms are governed by the laws of the Republic of Ghana. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Ghana.
We may update these Terms from time to time. For material changes, we will provide at least 14 days' notice via the dashboard or email. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
